Members of the Abbey Protection Senior Executive Team have provided Markel with irrevocable undertakings to vote, or procure the vote, in favour of the Scheme at the Court Meeting and the Special Resolution at the Abbey Protection General Meeting in respect of their shareholdings, and/or the shareholdings of their Connected Persons (as the case may be), representing, in aggregate, approximately 56.5 per cent. of the issued share capital of Abbey Protection;
